OVERVIEW

Welcome to Akasia. The terms "we", "us" and "our" refer to Akasia Limited. Akasia operates this store and website, including all related information, content, features, tools, products and services, in order to provide you, the customer, with a curated shopping experience (the "Services"). Akasia is powered by Shopify, which enables us to provide the Services to you.

These terms and conditions, together with any policies referenced in them (these "Terms of Service" or "Terms"), describe your rights and responsibilities when you use the Services.

Please read these Terms of Service carefully, as they include important information about your legal rights and cover areas such as product safety, warranty disclaimers and limitations of liability.

By visiting, interacting with or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms of Service or our Privacy Policy, you should not use or access our Services.

SECTION 1 - YOUR RIGHTS UNDER NEW ZEALAND CONSUMER LAW

Akasia is a New Zealand business and our Services are directed at customers in New Zealand.

Nothing in these Terms of Service excludes, restricts or modifies any guarantee, right or remedy you have under the Consumer Guarantees Act 1993, the Fair Trading Act 1986, or any other New Zealand law that cannot lawfully be excluded or limited.

Where you acquire goods from us as a consumer (that is, for personal, domestic or household use or consumption), the guarantees under the Consumer Guarantees Act apply, including guarantees that our products are of acceptable quality and fit for their ordinary purpose. Any disclaimer or limitation of liability in these Terms applies only to the extent permitted by law and does not affect those guarantees.

Where you acquire goods from us for the purposes of a business, and both parties agree in writing, the Consumer Guarantees Act does not apply to that supply, to the extent permitted by section 43 of that Act.

If any provision of these Terms would otherwise be unlawful or unenforceable under New Zealand law, it is to be read down or severed so that the remainder of these Terms continues to apply.

SECTION 2 - ACCESS AND ACCOUNT

By agreeing to these Terms of Service, you confirm that you are at least 18 years of age, or that you have the consent of a parent or legal guardian to make a purchase, and that you have given us your consent to allow any of your minor dependents to use the Services on devices you own, purchase or manage.

To use the Services, including browsing our online store or purchasing any of the products we offer, you may be asked to provide certain information, such as your email address and billing, payment and shipping information. You confirm that all the information you provide is correct, current and complete, and that you have all rights necessary to provide it.

You are responsible for maintaining the security of your account credentials and for activity on your account. You may not transfer, sell, assign or license your account to any other person.

SECTION 3 - OUR PRODUCTS

Akasia products are car fragrance diffusers, hand blended in New Zealand.

We have made every effort to provide an accurate representation of our products in our online store. Please note that colours or product appearance may differ from how they appear on your screen due to the type of device you use and your device settings.

Because our products are hand blended in small batches from fragrance oils, minor variation in colour, scent intensity and appearance between batches is normal and is not a defect. Photographs are styled for presentation and are indicative only.

All descriptions of products are subject to change at any time at our discretion. We reserve the right to discontinue any product at any time and to limit the quantities of any products we offer to any person or geographic region on a case-by-case basis.

SECTION 4 - PRODUCT SAFETY AND CORRECT USE

Akasia products are fragrance diffusers intended for use in cars, wardrobes and other small enclosed spaces. They are not intended for any other use.

You agree to follow the instructions supplied with the product and published on our How To Use page. In particular:

a. Keep away from children and animals. Keep the product and all its components out of the reach of children and pets. The cap, o-ring, wicks and clip are small parts and present a choking hazard.

b. Do not ingest. The contents are not for human or animal consumption. If swallowed, seek medical advice immediately and take the product or its label with you. Avoid contact with the eyes and prolonged contact with skin. If contact occurs, rinse thoroughly with water and seek medical advice if irritation persists.

c. Keep the bottle upright and secured. The bottle must be kept upright and properly secured at all times when in a vehicle, other than during the brief, deliberate tilting described in our instructions. Do not leave the bottle loose in a vehicle, and do not leave it uncapped.

d. Risk of damage to surfaces. Fragrance oil can stain, mark or permanently damage vehicle interiors and other surfaces, including dashboards, upholstery, leather, vinyl, plastics, trim and paintwork, as well as fabrics, furniture and flooring. To the extent permitted by law, and except where liability arises under the Consumer Guarantees Act or other law that cannot be excluded, we are not liable for damage to any vehicle, surface, property or item caused by spillage, leakage, tipping, over-tightening, misuse, or failure to follow the supplied instructions. If a spill occurs, blot immediately and clean the affected surface without delay.

e. Fragrance sensitivity. Fragrance products can cause irritation or allergic reaction in some people. If you experience irritation, headache, breathing difficulty or any other adverse reaction, stop using the product immediately and ventilate the space. If you are pregnant, have asthma or another respiratory condition, or have known fragrance sensitivities, seek medical advice before use.

f. No health or therapeutic claims. Akasia products are sold as fragrance products only. They are not aromatherapy, medicinal, therapeutic or wellness products. We make no claim that they treat, prevent, cure or alleviate any condition, and nothing on our Services should be taken as such a claim.

g. Driver safety. Do not adjust, tilt, refill or reposition the product while driving. Ensure the product is fitted so that it does not obstruct your view, interfere with vehicle controls, or interfere with the operation of any airbag.

SECTION 5 - PERFORMANCE AND LONGEVITY

Any stated fragrance duration (for example, "up to 60 days") is an estimate only, based on typical use. Actual longevity and scent strength will vary significantly depending on ambient temperature, exposure to direct sunlight, ventilation and air-conditioning use, how frequently the bottle is tilted, the number of wicks used, and how the product is positioned.

Scent strength indicators shown on product pages are a general guide to the intensity of a blend relative to our other blends. They are subjective and are not a measurement.

SECTION 6 - "INSPIRED BY" FRAGRANCES AND THIRD-PARTY TRADEMARKS

Some Akasia products are described as being "inspired by" a well-known designer fragrance.

Akasia is not affiliated with, endorsed by, sponsored by, licensed by, or connected in any way to any of the brands, fragrance houses or trademark owners referred to on our Services.

Those references are used solely to describe, in good faith, the fragrance family and scent profile that our own blend takes inspiration from. They are descriptive references only.

All third-party brand names, product names, trademarks and trade names referred to on our Services remain the property of their respective owners. No claim of ownership, association or endorsement is made or implied by their use.

If you are seeking the original designer fragrance, please purchase it from that brand or its authorised retailers.

SECTION 7 - ORDERS

When you place an order, you are making an offer to purchase. Akasia may accept or decline your order at its discretion. Your order is not accepted until we confirm acceptance, and we must receive and process your payment before your order is accepted. Please review your order carefully before submitting, as we may be unable to accommodate cancellation requests once an order is accepted.

If we do not accept, change or cancel an order, we will attempt to notify you using the email address, billing address or phone number provided at the time the order was made.

Product availability is shown on each product page and is not guaranteed until your order is accepted. Where an item is sold out, any listed price is indicative and remains subject to change.

Returns and exchanges are dealt with in our Refund Policy, and in accordance with Section 8 below and your rights under the Consumer Guarantees Act.

SECTION 8 - RETURNS, AND HYGIENE RESTRICTIONS ON OPENED PRODUCTS

Your rights under the Consumer Guarantees Act are unaffected by this section. If a product is faulty, damaged in transit, materially different from its description, or otherwise fails a consumer guarantee, contact us at sales@akasia.co.nz and we will provide a remedy as required by law.

Separately from those rights, and for reasons of hygiene and product safety, fragrance products that have been opened, unsealed or used cannot be returned or exchanged for change of mind, because they cannot be resold. Change-of-mind returns are accepted only where the product is unopened, unused and in its original sealed condition, in accordance with our Refund Policy.

Because fragrance preference is personal and subjective, not enjoying a scent is not a fault and is not covered by the Consumer Guarantees Act. We recommend reading the scent notes and strength guide on each product page before ordering.

SECTION 9 - PRICES, PROMOTIONS AND BILLING

All prices are shown in New Zealand dollars and, unless otherwise stated, include GST. Prices, discounts and promotions are subject to change without notice. The price charged will be the price in effect at the time the order is placed, as set out in your order confirmation email. Unless expressly stated, posted prices do not include shipping and handling.

Free shipping threshold. Where we offer free shipping over a stated order value, that threshold is assessed on the order subtotal for products after any discounts are applied, and excludes shipping and handling charges. If a partial return brings the order value below the threshold, we may deduct the original shipping cost from the refund. Free shipping applies to standard delivery within New Zealand only, unless stated otherwise.

Promotions may be governed by their own terms. If there is a conflict between the terms of a promotion and these Terms, the promotion terms will govern.

You agree to provide current, complete and accurate purchase, payment and account information for all purchases, and to promptly update that information so we can complete your transactions and contact you as needed.

You confirm that the payment information you provide is true, correct and complete, that you are authorised to use the payment method, and that you will pay the charges incurred at the posted prices, including shipping and handling and all applicable taxes.

SECTION 10 - SHIPPING AND DELIVERY

Delivery timeframes are estimates only and are not guaranteed. We are not responsible for delays caused by shipping carriers, customs processing, or events outside our reasonable control. Full details are set out in our Shipping Policy.

Nothing in this section limits your rights under the Consumer Guarantees Act, including the guarantee that goods will be delivered within a reasonable time, or your rights where goods are lost or damaged before they come into your possession.

SECTION 11 - INTELLECTUAL PROPERTY

Our Services, including all trademarks, brands, text, displays, images, graphics, product descriptions, video and audio, and the design, selection and arrangement of them, are owned by Akasia Limited, its affiliates or its licensors, and are protected by New Zealand and international copyright, trademark and other intellectual property laws.

These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store or transmit any of the material on the Services without our prior written consent. Except as expressly provided in these Terms, nothing grants you a licence or other rights under any patent, trademark, copyright or other intellectual property of Akasia, Shopify or any third party. All rights not expressly granted are reserved by Akasia.

The Akasia name, logo, product names, designs and slogans are trademarks of Akasia Limited. You must not use them without our prior written permission. Shopify's name, logo, product and service names, designs and slogans are trademarks of Shopify. All other names, logos, product names, designs and slogans on the Services are the trademarks of their respective owners, as set out in Section 6.

SECTION 12 - OPTIONAL TOOLS

You may be provided with access to third-party tools as part of the Services, which we neither monitor nor control.

You acknowledge that we provide access to such tools "as is" and "as available", without warranties, representations or conditions of any kind and without endorsement, to the extent permitted by law. Any use by you of optional third-party tools is at your own risk and discretion, and you should make sure you are familiar with and approve of the terms on which those tools are provided.

We may in future offer new features through the Services. Any such features will also form part of the Services and are subject to these Terms.

SECTION 13 - THIRD-PARTY LINKS

The Services may contain materials and links to websites operated by third parties, including embedded third-party functionality. We are not responsible for examining or evaluating the content or accuracy of third-party materials or websites. If you leave the Services to access these, you do so at your own risk.

To the extent permitted by law, we are not liable for any harm or loss related to your access of third-party websites, or your purchase or use of any products or services on them. Please review the third party's policies before you transact with them. Complaints or questions about third-party products and services should be directed to that third party.

SECTION 14 - RELATIONSHIP WITH SHOPIFY

Akasia is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our store are made directly with Akasia. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Akasia, including any injury, damage or loss resulting from purchased products and services. You expressly release Shopify and its affiliates from all claims, damages and liabilities arising from or related to your purchases and transactions with Akasia.

SECTION 15 - PRIVACY

All personal information we collect through the Services is subject to our Privacy Policy, and certain personal information may be subject to Shopify's Privacy Policy. By using the Services, you acknowledge that you have read these privacy policies.

Because the Services are hosted by Shopify, Shopify collects and processes personal information about your access to and use of the Services in order to provide and improve the Services. Information you submit will be transmitted to and shared with Shopify, and with third parties that may be located in countries other than where you reside, in order to provide services to you. Our handling of personal information is subject to the Privacy Act 2020. See our Privacy Policy for details.

SECTION 16 - REVIEWS AND FEEDBACK

If you submit, upload, post, email or otherwise transmit any ideas, suggestions, feedback, reviews, proposals, photographs or other content ("Feedback"), you grant us a perpetual, worldwide, sublicensable, royalty-free licence to use, reproduce, modify, publish, distribute and display that Feedback in any medium for any purpose, including commercial use, such as to operate, evaluate, improve and promote the Services.

You confirm that: (i) you own or have all necessary rights to the Feedback; (ii) you have disclosed any compensation or incentive received in connection with your Feedback; and (iii) your Feedback complies with these Terms. We are under no obligation to keep Feedback confidential, to pay for it, or to respond to it.

We may, but are not obliged to, monitor, edit or remove Feedback that we consider unlawful, offensive, threatening, defamatory, obscene or otherwise objectionable, or that infringes any party's intellectual property or these Terms.

You agree that your Feedback will not violate the rights of any third party, will not be unlawful, abusive or obscene, and will not contain any virus or malware. You may not use a false email address or misrepresent who you are. You are solely responsible for your Feedback and its accuracy.

SECTION 17 - ERRORS, INACCURACIES AND OMISSIONS

Occasionally there may be information in the Services containing typographical errors, inaccuracies or omissions relating to product descriptions, pricing, promotions, offers, shipping charges, transit times or availability. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders where information is inaccurate, at any time without prior notice, including after you have submitted your order. Where we cancel an order for this reason after payment, we will refund you in full.

SECTION 18 - PROHIBITED USES

You may access and use the Services for lawful purposes only. You may not use the Services, directly or indirectly: (a) for any unlawful or malicious purpose; (b) to breach any law, regulation, rule or ordinance; (c) to infringe our intellectual property rights or those of others; (d) to harass, abuse, insult, harm, defame, disparage or intimidate any of our staff or any other person; (e) to transmit false or misleading information; (f) to send, receive, upload, download or re-use any material that does not comply with these Terms; (g) to transmit any advertising or promotional material, including junk mail or spam; (h) to impersonate any other person or entity; or (i) to engage in conduct that restricts or inhibits anyone's use or enjoyment of the Services, or that may harm Akasia, Shopify or users of the Services.

You also agree not to: (a) upload or transmit viruses or malicious code; (b) reproduce, duplicate, copy, extract, sell or resell any portion of the Services; (c) collect or track the personal information of others; (d) spam, phish or pretext the Services; (e) use any robot, spider, scraper, data-gathering tool, AI tool or automated means to access the Services; or (f) interfere with, bypass or circumvent any security or authorisation feature or other measure we use to restrict access to the Services.

We may suspend, disable or terminate your account at any time, without notice, if we determine that you have breached these Terms.

SECTION 19 - AGENTS

19.1 This section ("Agent Terms") applies if you use, allow, enable or cause the deployment of an Agent to access, use or interact with any Services. "Agent" means any software or service that takes autonomous or semi-autonomous action on behalf of, or at the instruction of, any person or entity, and that can be executed on behalf of or using a person's device without direct supervision.

19.2 No Agent may access, use or interact with the Services unless, at all times, it identifies itself and operates in strict accordance with clause 19.4. In addition, no Agent may access, use or interact with the Services if we have requested that it refrain from doing so.

19.3 We may limit, including by technical measures, whether and how any Agent accesses, uses and interacts with the Services.

19.4 Agents must: (i) in all HTTP/HTTPS requests, identify that the request is from an Agent and disclose its name by including "Agent/[agent name]" in the request's user agent string; (ii) not conceal or obfuscate that any access, use or interaction is from an Agent, including by mimicking human behaviour and interaction patterns, or by completing or circumventing CAPTCHAs or measures intended to distinguish computers from humans; (iii) respond truthfully to any question or prompt seeking to determine whether interactions are coming from a human or a computer; and (iv) not circumvent or avoid any measure intended to block, limit, modify or control whether and how Agents access, use or interact with the Services.

SECTION 20 - TERMINATION

We may terminate this agreement or your access to the Services (or any part of them) at our discretion at any time without notice, and you will remain liable for all amounts due up to and including the date of termination.

The following sections continue to apply after any termination: Your Rights Under New Zealand Consumer Law, Product Safety and Correct Use, "Inspired By" Fragrances and Third-Party Trademarks, Intellectual Property, Reviews and Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver and Entire Agreement, Assignment, Governing Law, Privacy, and any other provisions that by their nature should survive termination.

SECTION 21 - DISCLAIMER OF WARRANTIES

This section is subject to Section 1. Nothing in it limits your rights under the Consumer Guarantees Act 1993 or any other law that cannot be excluded.

The information presented on or through the Services is made available for general information purposes. We do not warrant the accuracy, completeness or usefulness of that information, and any reliance you place on it is at your own risk.

Except as expressly stated by Akasia, and to the fullest extent permitted by law, the Services and all products offered through the Services are provided "as is" and "as available", without representation, warranty or condition of any kind, whether express or implied, including implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title and non-infringement. We do not guarantee that your use of the Services will be uninterrupted, timely, secure or error-free.

SECTION 22 - LIMITATION OF LIABILITY

This section is subject to Section 1. Nothing in it limits your rights under the Consumer Guarantees Act 1993 or any other law that cannot be excluded, and nothing in it excludes liability for death or personal injury caused by our negligence, or for fraud.

To the fullest extent permitted by law, Akasia, our partners, directors, officers, employees, affiliates, agents, contractors, service providers and licensors, and those of Shopify and its affiliates, will not be liable for any indirect, incidental, punitive, special or consequential loss or damage of any kind, including loss of profits, revenue, savings or data, replacement costs, or similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of the Services or any products purchased through the Services.

Where liability cannot lawfully be excluded but can be limited, and to the extent permitted by law, our total aggregate liability to you in respect of any product is limited, at our option, to replacing the product, resupplying an equivalent product, or refunding the price you paid for it.

SECTION 23 - INDEMNIFICATION

You agree to indemnify, defend and hold harmless Akasia, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors and service providers, from any losses, damages, liabilities or claims, including reasonable legal fees, payable to any third party arising out of (1) your breach of these Terms of Service or the documents they incorporate by reference, (2) your breach of any law or the rights of a third party, or (3) your access to and use of the Services.

We will notify you of any indemnifiable claim, though a failure to notify promptly will not relieve you of your obligations unless you are materially prejudiced. We may control the defence and settlement of such a claim at your expense, including choice of counsel, but will not settle any claim requiring non-monetary obligations from you without your consent, which is not to be unreasonably withheld. You will cooperate in the defence of indemnified claims.

SECTION 24 - SEVERABILITY

If any provision of these Terms of Service is determined to be unlawful, void or unenforceable, that provision is nonetheless enforceable to the fullest extent permitted by applicable law, and the unenforceable portion is deemed severed from these Terms. That determination does not affect the validity and enforceability of the remaining provisions.

SECTION 25 - WAIVER AND ENTIRE AGREEMENT

Our failure to exercise or enforce any right or provision of these Terms of Service does not constitute a waiver of that right or provision.

These Terms of Service, and any policies or operating rules posted by us on this site, constitute the entire agreement and understanding between you and us and govern your use of the Services, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, including any prior versions of the Terms of Service.

Any ambiguity in the interpretation of these Terms will not be construed against the drafting party.

SECTION 26 - ASSIGNMENT

You may not delegate, transfer or assign this agreement or any of your rights or obligations under these Terms without our prior written consent, and any such attempt is void. We may transfer, assign or delegate these Terms and our rights and obligations without your consent or notice to you.

SECTION 27 - GOVERNING LAW AND JURISDICTION

These Terms of Service, and any separate agreements under which we provide you Services, are governed by and construed in accordance with the laws of New Zealand. You and Akasia submit to the non-exclusive jurisdiction of the courts of New Zealand.

If you have a complaint, please contact us first at sales@akasia.co.nz so we can try to resolve it directly. You may also have access to the Disputes Tribunal or to the Commerce Commission in relation to consumer law matters.

Headings are included for convenience only and do not limit or otherwise affect these Terms.

SECTION 29 - CHANGES TO TERMS OF SERVICE

You can review the most current version of the Terms of Service at any time on this page.

We reserve the right, at our discretion, to update, change or replace any part of these Terms of Service by posting updates and changes to our website. It is your responsibility to check this page periodically for changes. We will notify you of any material changes in accordance with applicable law, and those changes will be effective on the date specified in the notice. Your continued use of the Services following the posting of changes constitutes acceptance of those changes.
